Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of Nurii's websites, application, AI chat, dashboards, automations, approved actions, Knowledge, memory, integrations, and related services (collectively, the "Service"). These Terms form an agreement between you and Nurii, L.L.C.

Our Privacy Policy explains how we collect and use information. It is an important document, and it is incorporated into these Terms where applicable.

1. Acceptance and eligibility

By accessing or using Nurii, you agree to these Terms. If you use Nurii on behalf of an organization, you represent that you have authority to bind that organization.

You must be at least 18 years old and use Nurii only for lawful, authorized business or organizational purposes.

2. Accounts, organizations, and administrators

  • You are responsible for accurate account information and for maintaining the confidentiality of your login credentials.
  • Organization owners and authorized administrators may manage members, permissions, billing, connectors, settings, and shared resources.
  • You are responsible for your users' activity in Nurii and for removing access when someone no longer needs it.
  • You must notify us promptly if you suspect unauthorized access or misuse.

3. Subscriptions, trials, and billing

Paid plans, trials, usage limits, seats, billing periods, and prices are described on the Nurii pricing page, in checkout, or in an order form or written agreement.

Stripe processes payments, subscriptions, checkout, invoices, payment methods, and billing portal activity. You authorize Nurii and Stripe to charge applicable fees, taxes, and renewals unless you cancel according to the plan terms.

Trials may convert to paid subscriptions unless canceled before the trial ends. Fees are non-refundable except where required by law or expressly stated in a written agreement.

4. Customer data and privacy

You retain ownership of your data. You grant Nurii and its subprocessors the rights needed to host, process, transmit, display, secure, and use your data to provide and improve Nurii, comply with law, and enforce these Terms.

You represent that you have the rights, consents, notices, and lawful basis needed to submit, connect, upload, sync, or otherwise make data available to Nurii.

Our Privacy Policy explains how we collect, use, share, retain, and protect information.

5. Connected services and credentials

Nurii can connect to third-party services that you or your organization authorize. Those services are governed by their own terms, policies, APIs, permissions, availability, and rate limits.

You are responsible for choosing which services to connect, which users may connect them, which scopes or resources are authorized, and whether connected service data is appropriate for use in Nurii.

Nurii may store encrypted credentials, connection metadata, selected resource settings, synced records, and related logs as needed to provide connector functionality.

6. AI outputs, automations, and approved actions

  • Nurii uses AI systems to produce answers, summaries, recommendations, dashboards, reports, automations, proposed actions, and related outputs.
  • AI outputs may be inaccurate, incomplete, delayed, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them.
  • Nurii is not a substitute for professional advice. Do not rely on Nurii as legal, tax, financial, medical, safety, employment, or compliance advice.
  • Supported write actions are designed to present proposed changes for review before execution, but you remain responsible for approving, rejecting, or acting on proposed changes.
  • You are responsible for prompts, instructions, schedules, approvals, connected service configuration, and actions taken by users in your organization.

7. Acceptable use

You agree not to use Nurii to:

  • Violate law, infringe rights, or process data you are not authorized to use.
  • Generate, facilitate, or distribute malware, spam, fraud, phishing, harassment, hateful content, or deceptive activity.
  • Attempt to bypass security controls, rate limits, access controls, approvals, billing limits, or connector boundaries.
  • Reverse engineer, scrape, copy, resell, or commercially exploit Nurii except as expressly allowed.
  • Upload secrets, credentials, regulated data, or sensitive personal information unless you have authority and the use is appropriate for the service.
  • Use Nurii in high-risk environments where failure could cause death, personal injury, property damage, or similar severe harm.

8. Security responsibilities

Nurii provides security controls for the service, but you are responsible for your own accounts, devices, member access, connector permissions, and connected service configuration.

You must use reasonable safeguards, including strong passwords, protected email accounts, appropriate role assignment, and prompt removal of users or integrations that no longer need access.

9. Third-party services and subprocessors

Nurii relies on third-party subprocessors for hosting, database, storage, authentication, monitoring, website analytics, email, billing, scheduling, AI inference, embeddings, retrieval, and web search. We may update subprocessors as needed to operate the service.

Nurii is not responsible for third-party service outages, API changes, data errors, rate limits, account restrictions, or policy changes outside our control.

10. Intellectual property and feedback

Nurii, including its software, design, branding, documentation, and other materials, is owned by Nurii or its licensors and is protected by intellectual property laws.

These Terms do not transfer ownership of Nurii to you. You may use Nurii only as permitted by these Terms.

If you provide suggestions, feedback, or ideas, you grant Nurii permission to use them without restriction or compensation.

11. Beta and preview features

Some features may be labeled beta, preview, experimental, or early access. These features may be incomplete, change, break, or be discontinued at any time.

Beta and preview features are provided as-is and should not be used for critical workflows unless you have independently reviewed the risk.

12. Availability, support, and changes

We work to keep Nurii reliable, but we do not guarantee uninterrupted or error-free service. Maintenance, incidents, third-party outages, or product changes may affect availability.

Support is available at support@nurii.ai. We may change, suspend, or discontinue features when needed, including to improve the product, maintain security, comply with law, or respond to third-party service changes.

13. Suspension and termination

You may stop using Nurii at any time. We may suspend or terminate access if you violate these Terms, create risk for Nurii or others, fail to pay fees, or if required by law.

After termination, we may deactivate access, disconnect integrations, and delete or retain data according to our Privacy Policy, legal obligations, backup practices, and legitimate business needs.

14. Disclaimers

Nurii is provided as-is and as available. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

We do not warrant that Nurii will be uninterrupted, secure, error-free, or that AI outputs or connected service data will be accurate or complete.

15. Limitation of liability

To the maximum extent permitted by law, Nurii will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business opportunities, or business interruption.

Nurii's total liability for any claim related to the service will not exceed the amounts you paid to Nurii for the service in the 12 months before the event giving rise to the claim, or $100 if you have not paid Nurii.

16. Indemnity

You will indemnify and hold Nurii harmless from claims, losses, liabilities, damages, costs, and expenses arising from your data, your connected services, your use of Nurii, your violation of these Terms, or your violation of law or third-party rights.

17. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of Nurii after the effective date means you accept the updated Terms.

18. Governing law and venue

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.

Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to those courts' jurisdiction and venue.
